These Terms of Use are entered into by and between you and Beam Interface, a Cayman Islands company (including all affiliates, collectively referred to as, "Beam", "we", "us", or "our"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms of Use"), govern your access to and use of any website published by Beam, including, but not limited to, any content, functionality, and services offered on or through https://www.onbeam.com or any sub-URL of such a website (collectively, the "Website") and your use of any applications, tools and services available or accessible through the Website.
Please read the Terms of Use carefully, as they govern your use of the Website. This includes your rights and obligations, our disclaimers and limitations of legal liability and risks described herein, relating to your use of, and access to, the Website. By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use.

Our Website is primarily meant to function as information with respect to the Beam ecosystem, a gaming ecosystem consisting of technologies, projects, communities, organizations and persons, utilizing, relying on, securing, or developing (as applicable) the Beam Network (as defined below), protocols and applications deployed on Beam network and their related smart contract systems. This includes functioning as an information source relating to the mint of ERC-721 tokens ("Node Token") that, together with BEAM, will be required to become a validator of the canonical blockchain and virtual machine environment of the Beam 'mainnet' (the "Beam Network"). Further, it functions as an information source relating to the Beam Network proof-of-stake consensus mechanism, including BEAM and Node Token staking and setting up of Beam Network validators nodes.
As part of our Website, you may from time to time gain access to decentralized open-source blockchains or smart contracts deployed on public blockchains (including the Beam Network), including those that allow you to mint a Node Token, set-up a Beam Network validator node or stake your BEAM or Node Token to a validator node. Our interface is distinct and separate from any of the blockchains or smart contracts that may be accessed through it and is merely one of multiple means of accessing such blockchains or smart contracts. Users can interact with the same blockchains or smart contracts otherwise directly, including to develop and build their own user interfaces on top of such blockchains or smart contracts. We do not control or cannot change such blockchains or smart contracts and the interaction with such smart contracts is not relying on the use of our Website.
To use parts of our Website, a user may need to use a third-party, non-custodial wallets software that allows the user to interact with public smart contracts and blockchains. We do not operate, maintain, or provide any wallets or wallet services. We will at no time have any custody or control of any crypto-assets that any user is interacting with, nor be transmitting or contributing to transmitting any crypto-assets. We are not a wallet provider, exchange, broker, lender, borrower or virtual/crypto-asset service provider.
A user may also by interacting with the Node Token smart contracts generate, or utilize, a 'referral code' that is generated onchain. Note that our Website is not causing the generation of such referral codes or enabling users to use such referral codes. Such referral codes are programmed into the smart contract code and may be generated or used by other means than through our Website.
Our Website may change and grow in numbers, which may require that we include additional terms for certain new parts of the Website (which, in such event, will be construed as part of the "Website"). We reserve the right in our sole discretion to modify or discontinue any parts of the Website at any time and without any liability.
The Website is not intended for children. By using the Website, you represent and warrant that you (i) are 13 years of age or older, (ii) are not barred to use the Website under any applicable law, and (iii) are using the Website only for your own personal use. If you do not meet these requirements, you must not access or use the Website.
You must also not be a person who is (a) subject to national or international sanctions or located or ordinarily resident in any country or region that is the subject of comprehensive country-wide or region-wide sanctions, embargo or equivalent by the United States of America, United Kingdom, European Union or the government of a user home country, or (b) listed by the United States of America, United Kingdom, European Union or otherwise designated on any list of prohibited or restricted parties or persons.
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them.

The owner of the Website is based in the Cayman Islands. We make no claims that the Website or any of its content is accessible or appropriate outside of the Cayman Islands. Access to the Website may not be legal by certain persons or in certain countries. If you access the Website from outside the Cayman Islands, you do so on your own initiative and are responsible for compliance with local laws.
You understand and accept the following risks relating to the Website:
a) The blockchain networks and smart contracts accessible through the Website (including used for staking of BEAM and Node Tokens on the Beam Network or minting the Node Token), are software systems that are accessible directly through validator nodes or indirectly through compatible wallet applications (such as the web browser plugin Metamask) which interacts with such a node. Interacting with blockchains or smart contracts does not require use of the Website, but the Website may provide a convenient and user-friendly method of reading and displaying data from these blockchains or smart contracts and generating standard transaction messages compatible with these blockchains or smart contracts. The Website does not interact with these blockchains or smart contracts and does not conduct any transaction on your behalf. Because the Website does not provide wallet software or validator nodes for the relevant blockchain network, such software constitutes an essential third party or user dependency without which transactions cannot be exercised. There is no guarantee of the continued operation, maintenance, availability, or security of any of the foregoing or APIs, middleware and servers of third parties.
b) Legal and regulatory requirements applicable to participation in validator or staking activities, or the minting of Node Tokens, may vary from jurisdiction to jurisdiction. You acknowledge and agree that you are solely responsible for evaluating the legality of participating in any validator or staking activities, or Node Token mint, in your jurisdiction.
c) The ability of the Website to connect with third-party wallet applications or devices is not an endorsement or recommendation to do so by or on behalf of the operators of the Website, and you must assume all responsibility for selecting and evaluating and incurring the risks of any bugs, defects, malfunctions or interruptions of any third-party wallet applications or devices you directly or indirectly uses in connection with the Website.
d) The smart contracts accessible through the Website may be subject to smart contract audits. However, hackers, individuals, other malicious groups or organizations may attempt and succeed to interfere with any wallet application, the relevant blockchain networks or these smart contracts in a variety of ways, such as through malware attacks, denial of service attacks, consensus-based attacks, sybil attacks, griefing, smurfing and spoofing, which may lead to a loss of your assets. Transactions on the relevant blockchain networks (such as Ethereum, Avalanche, Arbitrum One, Base and Beam Network) are irreversible. Any tokens you utilize in connection with BEAM or Node Token staking or a Node Token mint, are subject to potential risk of permanent disablement, impairment, loss or forfeiture in the event of any exploits, bugs or malfunctions of these smart contracts the relevant blockchain networks themselves, and no remedy will be available from any person due to any such damages you may suffer in this connection.
e) You are solely responsible for protecting the data integrity and confidentiality of its private keys and passwords to any wallet applications or devices used in connection with the Website. You cannot expect anyone to be able to restore or issue any refund in respect of property lost or frozen due to loss of private keys or otherwise.
f) The tax consequences of participating in validator or staking activities or any Node Token mint may vary by jurisdiction and may be adverse to you. You accept the potential tax consequences in your jurisdiction of residence. You assume all risks with respect to undertaking due diligence and investigation into such tax consequences, and nothing on the Website shall be construed to provide you with any tax, financial or legal advice.
g) Blockchains may be subject to "forks". Forks occur when some or all persons running the software clients for a particular blockchain system adopt a new client or a new version of an existing client that (a) changes the protocol rules in backwards-compatible or backwards-incompatible manner that affects which transactions can be added into later blocks, how later blocks are added to the blockchain, or other matters relating to the future operation of the protocol, or (b) reorganizes or changes past blocks to alter the history of the blockchain. Some forks are "contentious" and thus may result in two or more persistent alternative versions of the protocol or blockchain, either of which may be viewed as or claimed to be the legitimate or genuine continuation of the original. You assume full responsibility to independently remain informed about possible forks, and to manage your own interests and risks in that connection.
h) The smart contracts accessible through the Website and all related facts and circumstances have not been reviewed, approved, endorsed or registered with any regulator or other governmental entity. The creators of these smart contracts are not licensed by any regulator or other authority to provide any legal, financial, accounting, investment or other advice or services.
i) The regulatory status of cryptographic tokens, blockchain and distributed ledger technology, as well as its applications are unclear or unsettled in many jurisdictions and it is difficult to predict how or whether governments or regulatory agencies may implement changes to law or apply existing regulation with respect to such technology and its applications. Any such changes to law or clarifications to existing laws may have a materially adverse effect on you.
You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Website will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. You agree to defend, indemnify, and hold harmless Beam, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, any use of the Website' content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website.
All matters relating to the Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Cayman Islands without giving effect to any choice or conflict of law provision or rule (whether of the Cayman Islands or any other jurisdiction).
Any dispute arising out of or in connection with the Website and these Terms of Use, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration, which rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be the Cayman Islands. The language to be used in the arbitration shall be English. You and Beam agree to submit all Disputes between you and Beam to individual binding arbitration. "Dispute" means any dispute, claim, or controversy between you and Beam that relates to the Website and these Terms of Use.
If a Dispute must be arbitrated, you or Beam must start arbitration of the Dispute within one (1) year from when the Dispute first arose. If applicable law requires you to bring a claim for a Dispute sooner than one (1) year after the Dispute first arose, you must start arbitration in that earlier time period. Beam encourages you to tell us about a Dispute as soon as possible so we can work to resolve it. The failure to provide timely notice will bar all claims.
In any Dispute, the arbitrator will award to the prevailing party, if any, the costs and attorneys' fees reasonably incurred by the prevailing party in connection with those aspects of its claims or defenses on which it prevails, and any opposing awards of costs and legal fees awards will be offset.
Any breach by you of these Terms of Use could cause Beam irreparable harm for which it has no adequate remedies at law. Accordingly, Beam is entitled to seek specific performance or injunctive relief for any such breach. Nothing in this section will preclude Beam from seeking specific performance or injunctive relief from a court of appropriate jurisdiction.
No waiver by us of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of us to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
The Terms of Use, our Privacy Policy and other terms and conditions applicable at the time you access the Website constitute the sole and entire agreement between you and Beam with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.
